Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and PostPilot Pty Ltd (ACN pending), Melbourne, Victoria, Australia ("PostPilot", "we", "us").

By creating an account, starting a free trial, or subscribing to PostPilot, you agree to these Terms. If you do not agree, do not use the Service. If you are agreeing on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The Service

PostPilot provides an AI-powered social media content production service for small businesses. The Service includes:

  • A weekly content pipeline that transforms uploaded video clips and photos into branded Reels and static posts
  • AI-generated captions and hashtags in your brand voice
  • Automated scheduling and posting to connected social media accounts
  • A web-based dashboard for uploading content, reviewing outputs, and managing your brand profile

We reserve the right to modify, update, or discontinue features of the Service at any time with reasonable notice. We will not materially reduce core functionality during a paid subscription period without offering a pro-rated refund.

3. Accounts and Eligibility

You must be at least 18 years old to use PostPilot. You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You may not share your account with others, create multiple accounts for the same business without a separate subscription, or use the Service on behalf of a competitor to PostPilot.

4. Free Trial

PostPilot offers a 7-day free trial on the Co-Captain plan. No credit card is required to start a trial. At the end of the trial period, you will be prompted to enter payment details to continue. If you do not subscribe, your account will be downgraded and content production will stop. Your data is retained for 30 days after trial expiry before deletion.

We reserve the right to modify trial length and terms at any time. One free trial per business.

5. Subscriptions and Billing

Co-Captain plan: AUD $149/month (or AUD $1,432.80/year with 20% annual discount), for one brand profile.

Pro plan: Pricing announced at launch — currently waitlist only.

Subscriptions are billed monthly or annually in advance. Payments are processed by Stripe. By subscribing, you authorise PostPilot to charge your payment method on a recurring basis.

Prices are in Australian Dollars and include GST where applicable. We will provide at least 30 days notice of any price increases, which will take effect at your next renewal date.

Failed payments will result in a grace period of 7 days, after which the Service may be suspended until payment is made.

6. Cancellation and Refunds

You may cancel your subscription at any time through your Account Settings or by emailing hello@postpilot.solutions. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.

We do not offer refunds for partial months of service. If you cancel an annual subscription within 14 days of purchase and have not used the Service to produce content, we will issue a full refund. Outside of this window, no refunds are available for annual subscriptions.

In exceptional circumstances (extended Service outages, billing errors), we may issue credits or refunds at our discretion.

7. Your Content

You retain full ownership of all video clips, photos, logos, and brand materials you upload to PostPilot ("Your Content"). By uploading Your Content, you grant PostPilot a limited, non-exclusive, royalty-free licence to process, transform, store, and transmit Your Content solely for the purpose of providing the Service.

You represent and warrant that:

  • You own or have the right to use all content you upload
  • Your content does not infringe any third-party intellectual property rights
  • Your content does not contain material that is illegal, harmful, defamatory, or in violation of any person's privacy rights
  • You have obtained all necessary consents from individuals who appear in your content

PostPilot does not claim ownership of Your Content and does not use it to train AI models.

8. Prohibited Uses

You may not use PostPilot to:

  • Produce or distribute content that is illegal, harmful, threatening, abusive, defamatory, or discriminatory
  • Violate any third-party intellectual property rights
  • Attempt to reverse engineer, scrape, or extract PostPilot's proprietary systems or AI models
  • Circumvent any usage limits, access controls, or security measures
  • Resell, sublicence, or white-label the Service without our written permission
  • Use automated tools to access the Service outside of our published API
  • Post content to social media platforms in violation of those platforms' Terms of Service

Violation of these terms may result in immediate account suspension or termination without refund.

9. Social Media Platform Compliance

PostPilot connects to social media platforms (Instagram, Facebook) via their official APIs. Your use of PostPilot's social posting features is subject to those platforms' Terms of Service and Community Guidelines.

You are solely responsible for ensuring that content posted through PostPilot complies with the terms and policies of the platforms to which it is posted. PostPilot is not liable for any content removed, account suspended, or penalties applied by social media platforms as a result of content you have approved for posting.

10. Intellectual Property

PostPilot and its associated brand, software, AI systems, Shotstack templates, style configurations, and all related technology are owned by PostPilot Pty Ltd and protected by Australian and international intellectual property laws.

The AI-generated content produced by PostPilot (captions, Reel edits, post compositions) is provided to you under a non-exclusive licence for your commercial use in your social media marketing. You may not sell, sublicence, or distribute PostPilot's generated outputs as a standalone product or template.

11. Service Availability and SLA

We aim for 99% monthly uptime excluding scheduled maintenance. We will provide at least 24 hours notice of planned maintenance windows where possible.

Content production timelines are targets, not guarantees. Our standard commitment is same-day delivery (Monday upload → Monday content ready). In periods of high demand or technical issues, production may be delayed by up to 24 hours. We will notify affected users by email.

We are not liable for delays caused by third-party service providers (Shotstack, OpenAI, Meta API), internet outages, or events outside our reasonable control.

12. Limitation of Liability

To the maximum extent permitted by Australian law:

  • PostPilot is provided "as is" without warranties of any kind, express or implied
  • We are not liable for any indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or loss of business opportunity
  • Our total liability to you for any claims arising from these Terms or the Service is limited to the amount you paid to PostPilot in the 3 months prior to the claim

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

Before commencing any legal proceedings, you agree to contact us at hello@postpilot.solutions and attempt to resolve the dispute informally. We will respond within 10 business days.

14. Changes to These Terms

We may update these Terms from time to time. We will provide at least 14 days notice of material changes by email or in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with material changes, you may cancel your subscription before they take effect and receive a pro-rated refund.
